Terms of Service#

These Terms of Service (“Terms”) govern your access to and use of Satogram (the “Service”), operated by Satogram LLC (“Satogram”, “we”, “us”, or “our”). By using the Service, including creating a campaign (“Satogram”), paying for a campaign, or signing up to receive Satograms, you agree to these Terms. If you do not agree, do not use the Service.

1. What Satogram is#

Satogram lets a sender (an “Advertiser”) broadcast a short message together with a small Bitcoin payment (denominated in satoshis, “sats”) to many Lightning Network recipients (“Readers”) in a single campaign. Advertisers pay upfront, by Lightning invoice or by credit/debit card, and the Service fans the payment out across the Lightning Network to Readers’ Lightning addresses or nodes. Readers may sign up to be included on the recipient list and may opt out at any time.

2. Eligibility#

You must be at least 18 years old and able to form a binding contract to use the Service. By using the Service you represent that you meet these requirements and that your use complies with all laws that apply to you.

3. Advertiser responsibilities and acceptable use#

You are solely responsible for the content of your campaign message and any linked destination. You represent and warrant that you own or have all rights necessary to send the content and that it does not violate any law or third-party right.

You agree not to use the Service to send content that:

  • is unlawful, fraudulent, deceptive, or misleading;
  • promotes scams, phishing, malware, or attempts to obtain others’ funds or credentials;
  • infringes intellectual-property, privacy, or publicity rights;
  • is harassing, hateful, threatening, defamatory, or incites violence;
  • is sexually explicit, exploits minors, or is otherwise obscene;
  • promotes illegal goods or services, or violates securities, financial-promotion, gambling, or consumer-protection laws; or
  • impersonates any person or entity.

We may review, moderate, reject, delay, or remove any campaign at our discretion, including after payment. We are not obligated to send any campaign.

4. Readers#

If you sign up as a Reader, you authorize us to include your Lightning address or node in the recipient list and to deliver Satograms (sats plus an attached message) to you. Satograms may originate from third-party Advertisers, and their content is not endorsed by us. You can request removal from the list at any time by contacting us (see Section 14), and we will promptly remove you. Some wallets display Satograms differently or apply minimums, so delivery and display are subject to your wallet provider.

5. Payments, fees, and pricing#

  • Lightning payments are made by paying the invoice we generate. Card payments are processed by our third-party payment processor, Stripe; by paying with a card you also agree to Stripe’s terms.
  • Service fee. We charge a service fee (currently 10% of the campaign budget). The fee is disclosed before you pay and is deducted from the amount used to send Satograms.
  • Card processing fees. For card payments, payment-processing costs are added to your budget so that your full budget is available for delivery. The total amount charged to your card is shown before you pay.
  • Currency and exchange rate (card). Card budgets are denominated in US dollars and converted to a sats budget at a rate we lock for a limited window (about ten minutes). If payment is not completed within that window you may need a new quote, and a payment confirmed after the window may be refunded.
  • Network fees. Lightning Network routing fees apply per Satogram and are not fully known in advance, so the exact number of recipients reached cannot be guaranteed.
  • Minimums. Minimum budgets apply (for example, a card minimum and a per-campaign sats minimum) and are shown in the interface.

6. Refunds#

Refunds are governed by our Refund Policy, which is incorporated into these Terms. Sats that have already been sent to Readers are settled on the Bitcoin Lightning Network and are irreversible and non-refundable.

7. No guarantee of results#

We do not guarantee any specific reach, number of recipients, deliveries, clicks, responses, or outcome. Estimates shown in the interface are approximations. Delivery depends on the Lightning Network, recipient wallets, and factors outside our control.

8. Content license#

You grant us a non-exclusive, worldwide, royalty-free license to host, reproduce, transmit, and display your campaign message and any associated link for the purpose of operating and delivering the Service.

9. Cryptocurrency and risk disclaimer#

The Service involves Bitcoin and the Lightning Network. Cryptocurrency values are volatile, and Bitcoin/Lightning transactions are generally irreversible once sent. You are responsible for understanding these risks. We are not a bank or an investment adviser, and nothing here is financial advice.

10. Disclaimers#

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of liability#

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Satogram LLC AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR FUNDS. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE CAMPAIGN GIVING RISE TO THE CLAIM IN THE 30 DAYS BEFORE THE CLAIM.

12. Indemnification#

You agree to indemnify and hold harmless Satogram LLC and its operators from any claim or demand arising out of your campaign content, your use of the Service, or your violation of these Terms or any law or third-party right.

13. Suspension and termination#

We may suspend or terminate access to the Service, or refuse or cancel any campaign, at any time, with or without notice, including for suspected abuse, fraud, or violation of these Terms.

14. Changes to these Terms#

We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date above. Your continued use of the Service after changes take effect constitutes acceptance.

15. Governing law#

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws rules. [Optionally specify dispute-resolution, venue, or arbitration terms here.]
